Terms of Service

01Legal Notice02Privacy Policy03Terms of Service

1. Scope

These terms apply to services provided by OnlineTools Kft. (the provider) where they are incorporated into an agreement with the client. An individually agreed contract takes precedence over these terms, subject to mandatory law. Visiting this website or sending an enquiry does not by itself create a service contract.

2. Services

Our services include digital product and application development, no-code and low-code solutions, CRM development, e-commerce solutions, system integration, automation, product strategy and consulting. The scope, deliverables, fees and schedule are set out in the individual agreement.

3. Agreements

A service contract is formed when both parties accept the agreed scope and terms in writing or by electronic communication. Proposals are non-binding unless expressly stated otherwise. The website has no online ordering or payment facility.

4. Fees and payment

Fees are agreed for each project. Unless agreed otherwise, invoices are payable within 14 days of the invoice date. Any advance or instalment payments must be agreed with the client. Late-payment interest and any recoverable collection costs are determined under applicable Hungarian law.

5. Delivery and cooperation

Delivery dates are binding when expressly agreed. The client must provide the information, materials, access and feedback reasonably needed for the project. If missing inputs affect delivery, the parties will discuss the impact and any revised schedule. The provider may engage subcontractors while remaining responsible for its contractual obligations.

6. Intellectual property

The individual agreement defines the rights granted in project deliverables. Unless agreed otherwise, the client receives a non-exclusive right to use the deliverables for the agreed purpose after full payment. Third-party software, open-source components and pre-existing materials remain subject to their respective licences and ownership rights.

7. Defects and liability

Services must meet the agreed requirements. Remedies for defective performance, applicable limitation periods and liability are governed by Hungarian law and any valid provisions of the individual agreement. Rights and liability that cannot lawfully be limited remain unaffected.

8. Confidentiality

Both parties must protect confidential information received through the project and use it only for the agreed work. This does not prevent disclosures required by law or disclosures to advisers and subcontractors who need the information and are bound by appropriate confidentiality obligations.

9. Termination

Termination, settlement of completed work and handover are governed by the individual agreement and applicable Hungarian law. Mandatory termination and consumer withdrawal rights, where applicable, remain unaffected.

10. Governing law and disputes

These terms and the service agreements incorporating them are governed by the laws of Hungary, including Act V of 2013 on the Civil Code. Any dispute is subject to the courts having jurisdiction under applicable law.

This choice of law does not remove mandatory protections available to consumers under otherwise applicable law. Applicable European Union rules, including rules on jurisdiction and data protection, continue to apply.

If a provision is invalid, the remaining provisions continue to apply to the extent permitted by law. Changes to an existing contract require agreement between the parties; updating this page does not automatically amend an existing contract.
